POWER OF ATTORNEY

The undersigned and its subsidiaries hereby duly appoint Bama Auto Auction, LLC, located in Fort Payne, AL, through its authorized employees and agents to act as our Attorney-in-Fact to sign all papers and documents that may be necessary pertaining to the sell and subsequent title transfer of the vehicles consigned buy the undersigned to Bama Auto Auction, LLC, for its auction of the vehicles or pertaining to the auction of the vehicles by the undersigned, including, without limitations, any title, transfer document, reassignment of odometer disclosure statements as required by federal law.

In consideration of Bama Auto Auction’s agreement to execute such documents on behalf of the undersigned on occasion, the undersigned shall indemnify, defend and hold harmless Bama Auto Auction, LLC, its affiliated, subsidiaries, officers, directors, employees and successors. The undersigned shall also assign from and against any and all loss, damages, liability, claims, cause of actions, and expenses of whatever kind and nature, arising from the execution by Bama Auto Auction, LLC, or its employees or agents of any certificate of title, odometer statement, bill of sale, or other documents necessary to transfer ownership of consigned vehicles. Notwithstanding the forgoing, nothing contained herein shall be construed to require the undersigned to indemnify Bama Auto Auction, LLC, its affiliates, subsidiaries, officers, directors, employees, successors, and assigns from any loss resulting from any gross negligence or willfill misconduct of Bama Auto Auction, LLC, or its employees or agents.

This Power of Attorney shall be effective as of the date signed hereof on behalf of the undersigned, unless otherwise terminated by the undersigned in its sole discretion.

This Power of Attorney supersedes any previous authorization to act as agent and attorney-in-fact for the undersigned.

Rules and Regulations for Individual Non-Dealer

Bama Auto Auction, LLC is a service business and acts as an agent between buyer and seller.

1. Participants in attendance for the first time must register in the office.
2. All individual non-dealers must leave a $300.00 cash deposit and their drivers license at the front counter before
receiving a bidder badge for each sale. This deposit is refundable if no purchase is made.
3. All individual sales are “AS IS”, regardless if announced otherwise on the block. No RIDE and DRIVE options
  apply to individual non-dealers.
4. All transactions must be clear in the office, failure to do so may be grounds for termination.
5. Vehicles may be test driven on the lot only by individual non-dealers before sale.
6. All rebuilt and salvage vehicles must be announced at the time of sale.
7. No open titles… buying or selling.
8. Title must be presented at time of sale.
9. All buyers must NOT spend money on vehicles until titles are in hand. Bama Auto Auction will not be
  responsible for these expenses.
10. Bama Auto Auction, LLC does not guaranty in any way the year or model number on boats, motors, trailers,
motor homes, motorcycles, or ATVs.
11. Taxi, police, government or municipal vehicles must be announced at time of auction.
12. Non-working air bags must be announced at time of sale.
13. Mileage is the responsibility of the seller.
14. Sellers will be paid for each sold vehicle when title is presented.
15. All vehicles purchased by individual non-dealers must be paid for on the date of sale. No refunds.
16. All titles and checks are guaranteed by Auction Insurance Company.
17. Bama Auto Auction, LLC is not responsible for any accidents on our property.
18. If you are unsure about anything, ask an employee for help.
